Conditions Générales de Vente et d'Utilisation (CGV/CGU) – Licence Bêta

Les présentes conditions régissent la vente et l'utilisation de la licence du logiciel
« General Digital Voicing Program » (ci-après « GDVP »), exploité par
François-Xavier Briollais (ci-après « l'Éditeur »), contactable à l'adresse
contact@gdvp.net.
Article 1 : Objet
Le présent contrat a pour objet de définir les conditions dans lesquelles l'Éditeur concède
à l'utilisateur (ci-après « l'Utilisateur ») une licence d'utilisation « Bêta Fondateur » pour
le logiciel GDVP.
Article 2 : Nature de la Licence et Propriété Intellectuelle
- Concession : L'Éditeur accorde à l'Utilisateur une licence d'utilisation
perpétuelle, personnelle, non exclusive et non transférable.
- Activation : La licence permet l'activation du logiciel. Conformément à
notre politique de sécurité, un nombre limité de changements de machine est autorisé (limite
fixée à 2 changements pour les licences Bêta).
- Propriété : GDVP reste la propriété exclusive de l'Éditeur. Toute
reproduction, revente, décompilation ou ingénierie inverse est strictement interdite.
Article 3 : Prix et Paiement
La licence « Bêta Fondateur » est proposée au tarif remisé de 75,00 EUR Toutes Taxes
Comprises (TTC). Le paiement est exigible immédiatement à la commande et s'effectue de
manière sécurisée en ligne via notre prestataire de paiement (SumUp). Une fois le paiement
validé, la licence et les accès au tableau de bord sont générés et envoyés à l'adresse e-mail
fournie.
Article 4 : Livraison et Droit de Rétractation
S'agissant de la fourniture d'un contenu numérique non fourni sur un support matériel dont
l'exécution a commencé après accord préalable exprès du consommateur,
l'Utilisateur renonce expressément à son droit de rétractation de 14 jours
(conformément à l'Article L221-28 13° du Code de la consommation français). La livraison est
réputée effectuée dès l'envoi de l'e-mail contenant les accès au tableau de bord.
Article 5 : Nature « Bêta » du Logiciel et Limitation de Responsabilité
- Logiciel en développement : L'Utilisateur reconnaît expressément que GDVP
est actuellement en phase « Bêta ». Le logiciel est fourni « en l'état » et peut contenir des
bugs, des erreurs ou présenter des instabilités.
- Absence de garantie : L'Éditeur ne garantit pas que le logiciel
fonctionnera sans interruption ou qu'il sera exempt d'erreurs.
- Limitation : Dans les limites permises par la loi, l'Éditeur décline toute
responsabilité pour tout dommage direct ou indirect (perte de données, perte d'exploitation,
etc.) résultant de l'utilisation ou de l'incapacité d'utiliser le logiciel GDVP.
Article 6 : Données Personnelles
Les données collectées (adresse e-mail) sont strictement nécessaires à la gestion de la
licence et à l'accès au tableau de bord. Conformément au RGPD, l'Utilisateur dispose d'un droit
d'accès, de rectification et de suppression de ses données, exerçable en contactant
contact@gdvp.net.
Article 7 : Droit Applicable et Litiges
Les présentes conditions sont soumises à la loi française. En cas de litige, une solution
amiable sera recherchée avant toute action judiciaire. À défaut d'accord, les tribunaux français
seront seuls compétents.
GENERAL DIGITAL VOICING PROGRAM (GDVP) — UNIFIED MASTER PROPRIETARY LICENSE Agreement
Effective Date: September 25, 2026
Author & Sole Licensor: M. François-Xavier Briollais (hereinafter, "The Licensor")
Preamble
This Unified Master Proprietary License ("The Agreement") governs the worldwide use,
distribution, and integration of the General Digital Voicing Program (GDVP) architecture,
its C11 source code, DSP graph compiler, VST3 binaries, and all associated MIL-STD-498
documentation (collectively, "The Software"). This Agreement establishes distinct
operational tiers: B2C (Consumer), B2B (Enterprise), and Defense/Military.
By installing, executing, or integrating The Software, the Licensee (whether an
individual, corporation, or state actor) unconditionally accepts the terms of this
Agreement.
ARTICLE 1. OWNERSHIP AND INTELLECTUAL PROPERTY
1.1 Absolute Ownership: The Software, including all algorithms, MISRA C 2012
implementations, AST Differential Compilers, and associated schematics, are the
exclusive, undivided intellectual property of M. François-Xavier Briollais.
1.2 No Transfer of Rights: This Agreement grants a limited, conditional license to
use The Software. It does not constitute a sale of intellectual property. All rights not
expressly granted herein are strictly reserved by The Licensor.
ARTICLE 2. CONSUMER END-USER TIER (B2C / VST3)
2.1 Machine-Bound Licensing: For consumer applications, The Licensor grants a
perpetual, non-exclusive license restricted to one (1) physical machine per license.
2.2 Hardware-Tethered Transferability: The License is irrevocably tethered to the
physical hardware (Machine) on which it is activated. The Licensee is legally permitted to
transfer or resell the License only if the License is sold concurrently with the
underlying physical Machine. Standalone resale of the digital License is strictly
prohibited.
2.3 DRM and Revocation Rights: The Software currently utilizes offline Ed25519
cryptographic signatures. The Licensor explicitly reserves the unilateral right to
implement mandatory online heartbeat validation (Digital Rights Management) in any future
updates. The Licensor reserves the right to remotely revoke access immediately and without
refund if any tampering, hex-editing, or circumvention of the Ed25519 DRM is detected.
ARTICLE 3. ENTERPRISE INTEGRATION TIER (B2B / SDK)
3.1 Custom Modalities: The distribution of raw C11 source code versus pre-compiled
static libraries, as well as the financial structures (flat-fee buyout, royalties, or
subscriptions), shall be determined via separate, bespoke Commercial Addendums attached
to this Agreement. The Licensor reserves the right to alter commercial modalities at his
sole discretion prior to contract execution.
3.2 Derivative Works: B2B integration is strictly preferred via provided Application
Programming Interfaces (APIs). The creation of derivative works, forks, or modifications
to the core C11 engine is prohibited unless explicitly authorized in writing by The
Licensor on a case-by-case basis.
3.3 Audit Rights: The Licensor reserves the right to audit the sales records of B2B
partners to verify hardware integration counts. Such audits will only be executed upon
legitimate suspicion of underreporting and shall be formally executed via a sworn French
bailiff (Huissier de Justice).
ARTICLE 4. MILITARY, DEFENSE, AND MISSION-CRITICAL TIER
4.1 Classified & Air-Gapped Environments: The Licensor is prepared to grant
perpetual, offline, un-auditable licenses for state or defense contractors operating in
classified environments, subject to strictly undisclosed and restricted auxiliary
conditions agreed upon in writing.
4.2 Absolute Hold Harmless & Life-Support Waiver: While The Software guarantees
deterministic hard real-time execution (< 1.3ms block latency), it is provided "AS IS"
for defense applications. The Licensee unconditionally waives all claims and holds The
Licensor entirely harmless against any damages, failures, or loss of life resulting from
the use of The Software in mission-critical, aerospace, or life-support systems.
4.3 IP Indemnification: The Licensor agrees to indemnify the Defense/B2B Licensee
solely against third-party claims of Intellectual Property infringement regarding the
core C11 code. The Licensor provides no indemnification against operational, tactical, or
secondary liabilities.
ARTICLE 5. EXPORT CONTROLS AND CRYPTOGRAPHY
5.1 Unannounced Export Restrictions: While The Software may currently be free of
international export restrictions, The Licensor explicitly reserves the absolute right to
implement restricted cryptographic telemetry or defense-specific implementations in future
builds.
5.2 Compliance: The Licensor reserves the right to subject The Software to ITAR
(USA), the Wassenaar Arrangement (EU), or French national security export controls
(Controle des exportations de biens a double usage) at any time, without prior
advertisement or notice to existing partners. Licensees must comply with all resulting
international laws.
ARTICLE 6. TERMINATION AND ZERO-TOLERANCE TRIGGERS
This License shall terminate immediately, automatically, and non-negotiably — without
refund or judicial notice — upon the occurrence of any of the following triggers:
1. Reverse Engineering: Any attempt to reverse engineer, decompile, decrypt,
disassemble, or extract the Kahn AST compiler or the 32-byte node architecture.
2. Counterfeiting: Any attempt to counterfeit, illegally reproduce, or bypass the
licensing mechanisms of The Software.
3. Human Rights Violations: The use of The Software by any entity, corporation, or
state actor currently condemned by the International Criminal Court (ICC) for War
Crimes, Crimes Against Humanity, or severe Human Rights Violations.
Upon termination, the Licensee must immediately destroy all copies of The Software and
associated MIL-STD-498 documentation.
ARTICLE 7. GOVERNING LAW AND WORLDWIDE ENFORCEMENT
7.1 Governing Law: This Agreement shall be governed by, construed, and enforced in
accordance with the laws of France, without regard to its conflict of law principles.
7.2 Worldwide Enforcement & Jurisdiction: While the governing law is French, the
application of this Agreement is worldwide. The Licensor reserves the absolute freedom to
utilize any legal representative, undisclosed auxiliary protections, and international
treaties (e.g., the Berne Convention) to protect this IP globally.
7.3 Unlawful Users: Unlawful users will be prosecuted to the maximum extent of French
Civil and Penal Code, as well as applicable international law.
